Savvas is a Principal in the Corporate Advisory Team. His practice focuses on all aspects of corporate and commercial law including:
- sales and purchases of businesses and shares
- pre-purchase and pre-sale due diligences
- initial public offerings
- capital raisings
- debt financing on behalf of lenders and borrowers and mezzanine financing
- corporate structuring and restructuring
- management buyouts
- capital reductions and share buy backs
- corporate governance advice, including advice regarding the ASX listing rules
- shareholders' agreements, joint venture agreements and partnership agreements
- employee share ownership plans
- Trade Practices Act advice
- drafting and advising on general commercial agreements
Key transactions Savvas has worked on include:
- various large scale acquisitions by listed and unlisted companies in a broad range of industry sectors, including acting for ASX listed companies, a company listed on the Tokyo stock exchange and New Zealand public companies
- advising listed and unlisted company boards on corporate governance matters, including compliance with the ASX listing rules
- completing various pre-purchase and pre-sale due diligences in large business and share transactions
- a number of large financing transactions involving debt and equity, including a US$185 million loan transaction
- drafting a large number of shareholders' agreements and partnership agreements
- drafting and implementing employee share ownership plans, including share plans and option plans
- acting for some of Victoria's best known real estate agents on acquisition and structuring matters, including shareholders' agreements, rent roll sales and purchases, financing transactions and licensing issues
- acting for various participants in the hospitality industry in major transactions, including sales and purchases of wineries and hotels with gaming licences and providing advice in relation to liquor licensing matters
Savvas is a member of the Commercial Law section of the Law Institute of Victoria.
He is also a member of the Global Equity Organisation (GEO). GEO is a global organisation that provides an international forum and contact point on all issues relating to equity based remuneration. It has approximately 2,500 members worldwide including some of the world's largest organisations and professional services firms from the US, the UK, Europe and the Asia Pacific region.
