Michael is a Principal. His practice focuses on all aspects of corporate advisory.
Michael's experience includes:
- acting for buyers and sellers in business acquisitions and disposals
- drafting and negotiating a wide range of commercial documents such as joint venture shareholder agreements and distribution and agency agreements for products and services
- corporate and company structures and restructures
- advice to multi-national companies as to Australian operations including director appointments and corporate governance
- venture capital fund raising

- taxation, planning and litigation
- property development, particularly for the retirement village industry
Key transactions and matters Michael has worked on include:
- the float of a spin off from a listed mining company
- the float of a building company including preparation of the prospectus, conduct of the due diligence, liaising in relation to the preparation of expert reports and all dealings with ASIC and the ASX
- court appointed company secretary for a listed company whose disputing shareholders prevented orderly conduct of business
- various acquisitions by listed companies in various industry sectors including manufacturing, tourism, wine and hotels
- documenting a joint venture between a fishing operator and an overseas international distributor of fish product
- the trade sale of a major property group acquired by a listed company including advice on all aspects of retirement village licensing and statutory obligations
- preparing pro forma sale and lease documentation in connection with retirement village stock including specialist taxation advice as to the structure of such sales
- acting for the vendor of a major hotel business with gaming licences
- advising in all aspects of national product recalls for defective products
- defending challenges made to clients with off-shore structures and advice as to the legalities and legitimacy of off-shore distributions to and from Australia
- the acquisition of shares and units of an Australian based company by a major international fishing company
- representing an AFL football club including conducting litigation arising from alleged defamatory conduct and advising the Board on various matters
- reviewing and negotiating AFL player contracts and club sponsorships
- negotiations for land acquisitions for major development sites including a hotel site
- representing a large corporate owned multi-site retailer in intellectual property disputes
Michael is an Australian representative director of a major international company with Australian operations and acts as a director of various private companies. Michael also sat on the board of an industry based public offer superannuation fund for a number of years.
He is a Fellow of the Taxation Institute of Australia and has presented numerous taxation seminars convened by the Taxation Institute.
Michael joined MST in 2003 after running his own boutique commercial practice providing advice to a broad range of high net worth clients including public companies. Previously he was a partner in the corporate division of a national law firm.
